SingleBuck Maintenance Service Agreement

This Maintenance Service Agreement (“Agreement”) governs the website maintenance services provided by SingleBuck Technologies (“SingleBuck”, “we”, “us”, or “our”) to the customer (“Customer”, “you”, or “your”) who purchases or enrolls in a maintenance plan offered by SingleBuck Technologies.

By purchasing, renewing, or using a maintenance service, you acknowledge that you have read, understood, and agree to the terms outlined below.

1. Scope of Services

SingleBuck Technologies provides managed website maintenance services designed to help maintain the security, stability, and functionality of your website.

Services may include, depending on your selected maintenance package:

• WordPress core updates

• Plugin updates

• Theme updates

• Website backups

• Backup restoration assistance

• Security reviews and monitoring

• Malware investigation and remediation assistance

• Website uptime monitoring

• Performance optimization

• Technical troubleshooting

• Content changes requested by the Customer

• Configuration adjustments

• General website support and guidance

Specific services included are limited to those outlined within your selected maintenance plan.

2. Authorization for Administrative Access

To perform the services included within your maintenance plan, SingleBuck Technologies may require administrative or privileged access to your website and related systems.

By enrolling in a maintenance plan, you expressly authorize SingleBuck Technologies and its authorized personnel to access your website administration area, hosting environment, installed applications, plugins, themes, databases, logs, and related systems solely for the purpose of delivering the services included within your maintenance plan.

Such access shall only be used when reasonably necessary to:

• Perform maintenance tasks;

• Apply updates;

• Create or restore backups;

• Troubleshoot issues;

• Investigate security concerns;

• Implement changes requested by you;

• Respond to service interruptions;

• Fulfill the services you have purchased.

SingleBuck Technologies will not access, review, modify, or use website information for purposes unrelated to providing the contracted services except where required by applicable law.

3. Confidentiality

Information encountered while performing maintenance services shall be treated as confidential.

SingleBuck Technologies agrees to take reasonable measures to protect customer information and limit access to authorized personnel who require such access to perform their duties.

Authorized personnel may include employees, contractors, or service providers acting on behalf of SingleBuck Technologies and who are subject to confidentiality obligations.

4. Customer Responsibilities

The Customer agrees to:

• Maintain accurate account information;

• Provide access credentials when required;

• Respond promptly to requests for information necessary to complete support tasks;

• Maintain ownership or authorization to request changes to the website;

• Review work completed and notify SingleBuck Technologies of concerns within a reasonable timeframe.

The Customer remains solely responsible for the legality, accuracy, ownership, and content of all material hosted on their website.

5. Third-Party Software

Many websites rely upon software developed and maintained by third parties.

SingleBuck Technologies does not warrant or guarantee the continued availability, compatibility, security, or functionality of third-party software, plugins, themes, integrations, or services.

Reasonable efforts will be made to identify and address compatibility concerns; however, SingleBuck Technologies shall not be liable for failures caused by third-party products beyond our control.

6. Updates and Compatibility Risks

While updates are important for security and stability, updates occasionally create conflicts or unintended issues.

By enrolling in maintenance services, you acknowledge that:

• Software updates may alter website functionality;

• Certain features may become temporarily unavailable;

• Third-party incompatibilities may arise;

• Restoration from backup may be necessary.

SingleBuck Technologies will exercise reasonable care when applying updates but cannot guarantee that updates will be entirely free from risk.

7. Backups

Where backups are included within your maintenance plan, SingleBuck Technologies will make reasonable efforts to create and retain backups according to the terms of the selected service package.

Backups should not be considered a substitute for independent disaster recovery planning.

SingleBuck Technologies does not guarantee that all backups will be successful, complete, or recoverable under all circumstances.

8. Security and Incident Response

If security concerns, malware infections, unauthorized access, or suspicious activity are identified, SingleBuck Technologies may take reasonable actions necessary to preserve the integrity and security of the website and hosting environment.

Such actions may include:

• Temporarily restricting access;

• Disabling vulnerable components;

• Restoring from backups;

• Investigating technical logs;

• Coordinating remediation efforts with the Customer.

Where practical, Customers will be notified of significant security events.

9. Customer Requests and Verification

SingleBuck Technologies may require verification of account ownership before carrying out sensitive requests, including but not limited to:

• Administrator account changes;

• Domain modifications;

• Website restoration requests;

• Access-related requests;

• Deletion of data or services.

Requests that cannot be reasonably verified may be declined for security purposes.

10. Limitation of Liability

Maintenance services are provided on a reasonable efforts basis.

To the fullest extent permitted by applicable law, SingleBuck Technologies shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from:

• Website downtime;

• Data loss;

• Third-party software failures;

• Security incidents beyond our reasonable control;

• Lost profits or business interruption;

• Compatibility issues resulting from software updates.

The total liability of SingleBuck Technologies relating to maintenance services shall not exceed the amount paid by the Customer for the maintenance services during the twelve (12) months immediately preceding the event giving rise to the claim.

11. Suspension or Refusal of Services

SingleBuck Technologies reserves the right to refuse, suspend, or terminate maintenance services where:

• Services are used for unlawful purposes;

• The Customer requests actions that violate applicable law;

• Access necessary to perform the services is withheld;

• Continued support presents a security risk;

• Abuse, threats, or harassment are directed toward SingleBuck Technologies personnel.

12. Changes to This Agreement

SingleBuck Technologies may update this Agreement from time to time.

Material changes will apply prospectively and will become effective upon publication on our website or notification through the Customer Account Hub.

Continued use of maintenance services following such updates constitutes acceptance of the revised Agreement.

13. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Province of Nova Scotia and the applicable laws of Canada.

Any disputes arising under this Agreement shall be subject to the courts of Nova Scotia, Canada.
